BY-LAWS FOR FRIENDS BOARD

 

By-Laws of
FRIENDS OF WILLIAMSBURG REGIONAL LIBRARY
(Adopted December 10, 1999; Amended October 4, 2002; Amended October 10, 2003)


ARTICLE I: Name

The name of this organization shall be Friends of Williamsburg Regional Library.

ARTICLE II: Purpose

The purpose of this organization is to create public interest in and greater use of the Williamsburg Regional Library, to provide financial support to the Library, and to sponsor cultural and related programs. The intention is to supplement and encourage the work of the professional staff of the Library with the Friends, a separate group, supportive rather than authoritative.

ARTICLE III: Membership

  1. Membership in this organization shall be open to all individuals, organizations, businesses, and clubs, in sympathy with its purposes.

  1. Each organization or individual member shall be entitled to one vote.


ARTICLE IV: Officers

  1. The officers of this organization shall be a President, President-Elect, Secretary and Treasurer.

  2. Officers shall be recruited and nominated by a committee chosen by the Board defined in Article VI. The nominations shall be submitted in writing to the membership two weeks prior to the annual meeting. Additional nominations may be made from the floor at the annual meeting with the consent of the nominee.

  3. Officers shall be elected by a majority vote of those members in good standing present at the annual meeting. The term of office shall be for two years and shall begin on the first day of January following the annual meeting.

  4. Vacancies shall be filled by appointment by the Board until the next regular election.


ARTICLE V: Duties of Officers

  1. The officers shall have the usual duties and authorities customarily exercised by officers of a non-profit organization.

  2. The President shall be ex officio a member of all committees.

  3. The President-Elect shall succeed to the President=s position upon the end of the President=s term of office.

  4. The elected officers shall set up the necessary standing committees. The chairs of the committees and at-large members of the Board shall be appointed by the President. Each chair shall select that committee=s members.


ARTICLE VI: Board

  1. The Board shall consist of the elected officers of the organization, the appointed committee chairs, and members-at-large. The Director of the Williamsburg Regional Library and the Chair of the Board of Trustees shall serve as ex officio members of the Board.

  2. Meetings of the Board shall be held at least four times each year. Special meetings may be called by the President.

  3. Members of the Board are expected to attend all regular Board meetings. Any member of the Board who misses half of the meetings in any calendar year may be asked to resign by a majority decision of the officers of the Board.

  4. One-half of the members of the Board shall constitute a quorum.


ARTICLE VII: Meetings

  1. The organization shall hold at least one meeting a year.

  2. The annual meeting shall be held on a date, to be determined by the Board, near the end of the fiscal year. Members shall be notified in writing at least two weeks prior to the date of the meeting.

  3. A special meeting of this organization may be called at any time by the Board.

  4. Only those members in good standing shall be allowed to vote at any meeting.


ARTICLE VIII: Dues

Dues shall be paid annually and are good for one year=s membership from date of payment. The membership contribution schedule and categories shall be set by the Board subject to annual review by the Board.


ARTICLE IX: Fiscal Year

The fiscal year shall be from January 1 to December 31. All funds shall be deposited to the account of Friends of Williamsburg Regional Library and shall be disbursed by the Treasurer as authorized by the elected officers of the Board.


ARTICLE X: Disposition of Assets upon Dissolution

In the event that this organization is terminated or dissolved, all assets belonging to the organization will be transferred to the Williamsburg Regional Library to be disposed of as recommended by the Library Board of Trustees; however, if the named recipient is not then in existence or is no longer a qualified distributee or is unwilling or unable to accept the distribution, the assets of this organization shall be distributed to a fund, foundation, or corporation organized exclusively for purposes specified in Section 501 C3 of the Internal Revenue Code.


ARTICLE XI: Amendments

Amendments to these By-Laws may be made at any meeting of the general membership by a two-thirds vote of those present and in good standing. Notification in writing of the proposed amendments shall be given to each member at least two weeks before the meeting at which voting is to take place.


ARTICLE XII: Parliamentary Procedure

Robert's Rules of Order, Revised, when not in conflict with these By-Laws shall govern the proceedings of this organization.
